Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Davids Tool ("we", "us", "our") and govern your access to and use of the Davids Tool website at davidstool.com and the web application accessible from it (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Davids Tool is a software-as-a-service platform for sales professionals. It records or ingests sales calls, produces AI-generated meeting notes and action items, and helps you draft documents such as proposals and contracts based on those notes. Features, models, and integrations may change over time.

3. Eligibility and Accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for:

  • Providing accurate account information and keeping it current.
  • Safeguarding your credentials and any access tokens issued to you.
  • All activity that occurs under your account.

4. Recording Consent

You are solely responsible for complying with applicable laws when recording calls, including obtaining all required consents from meeting participants. Some jurisdictions require the consent of every participant before a call may be recorded. You agree to provide any notice and obtain any consent required by law before using Davids Tool to record, transcribe, or summarize a call.

5. Your Content

"Your Content" means audio recordings, transcripts, notes, documents, templates, and other material you upload, create, or generate through the Service. As between you and us, you retain ownership of Your Content.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content solely to operate, secure, and improve the Service for you. We do not use Your Content to train AI models, and we do not use data received through Google APIs to train or improve AI models.

6. Acceptable Use

You agree not to:

  • Use the Service to record any person without the consent required by law.
  • Upload content that is unlawful, infringing, harassing, or otherwise violates the rights of others.
  • Attempt to reverse engineer, decompile, or circumvent any security or access controls of the Service.
  • Interfere with or disrupt the Service, overload our infrastructure, or use automated means to scrape or extract data.
  • Use the Service to build a competing product or to train a machine-learning model.
  • Use the Service in violation of export-control, sanctions, or other applicable law.

7. Third-Party Services

The Service integrates with third-party services including Google (Calendar and authentication), OpenAI (AI models), and Recall.ai (meeting recording), among others. Your use of those services is governed by their own terms. We are not responsible for third-party services, and their availability is not guaranteed.

8. AI-Generated Output

The Service uses AI models to produce transcripts, notes, and draft documents. AI output may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing and editing any AI-generated content before relying on it, sending it to a counterparty, or executing it as a legal document. Davids Tool does not provide legal, financial, or professional advice.

9. Fees

Some features may require a paid subscription. If you purchase a paid plan, fees, billing cycle, and cancellation terms will be disclosed at the point of purchase. Except where required by law, fees are non-refundable. We may change pricing with reasonable notice for upcoming billing periods.

10. Intellectual Property

The Service, including its software, design, trademarks, and content (other than Your Content), is owned by Davids Tool or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted by implication.

11. Termination

You may stop using the Service at any time and may delete your account from the account settings. We may suspend or terminate your access if you violate these Terms, create risk or legal exposure for us, or for extended inactivity. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitations of liability, and governing law) will survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAVIDS TOOL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (b) USD $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless Davids Tool and its officers, employees, and agents from any claim, demand, or loss (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms or applicable law.

15. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make a material change to these Terms, we will notify you by updating the "Last updated" date above and, where appropriate, by email or in-product notice. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the jurisdiction in which Davids Tool is established, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the courts of that jurisdiction, and you and Davids Tool consent to personal jurisdiction there.
